By accessing and using CusmaDocs ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

CusmaDocs is a digital platform that provides:

• Certificate of Origin (CoO) generation and management
• CUSMA compliance documentation tools
• Digital signature capabilities
• Evidence file management
• Product classification and HS code assistance
• Compliance analytics and reporting

3. User Accounts

3.1 Account Creation

To use our Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account

4. Acceptable Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service for legitimate business purposes related to trade compliance and documentation.

4.2 Prohibited Activities

You agree not to:

• Transmit any harmful, threatening, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated systems to access the Service
• Create false or misleading certificates
• Share your account credentials with others
• Reverse engineer or attempt to extract source code

5. Intellectual Property

5.1 Our Rights

The Service and its original content, features, and functionality are owned by CusmaDocs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain ownership of the data and content you upload to our Service. By using our Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing our Service.

5.3 Trademark Usage

"CusmaDocs" and related marks are trademarks of CusmaDocs. You may not use our trademarks without our prior written consent.

6. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the collection and use of information as described in our Privacy Policy.

7. Service Availability

We strive to provide reliable service but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice. We are not liable for any downtime or service interruptions.

8. Fees and Payment

8.1 Subscription Plans

CusmaDocs offers tiered subscription plans with different features and limitations:

• Starter Plan: $39/month or $399/year - Up to 3 users, 100 products, 25 certificates/month
• Business Plan: $149/month or $1,499/year - Up to 10 users, 1,000 products, unlimited certificates
• Enterprise Plan: $499/month or $4,999/year - Unlimited users, products, and certificates

8.2 Billing and Payment

• Monthly or annual billing via Stripe or similar payment gateway
• Annual plans include 2 months free (equivalent to 10 months of monthly billing)
• Payment is due in advance for each billing period
• All fees are non-refundable except as required by law
• Enterprise clients may have additional setup fees ($250 one-time)

8.3 Plan Limitations

Each plan has specific limitations on users, products, certificates, and storage. Usage exceeding plan limits may result in service restrictions or require plan upgrades.

8.4 Add-on Services

Additional services may be available for purchase:

• Extra Evidence Storage: Additional 10 GB for $10/month
• Additional Users: $5/user/month above plan limits
• API Access (Starter): $20/month
• Digital Signature (Starter): $10/month

8.5 Price Changes

We reserve the right to modify pricing with 30 days' advance notice. You may cancel your subscription before price changes take effect.

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation
• Accuracy or completeness of information

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUSMADOCS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless CusmaDocs and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features in the Service.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, though some information may be retained for legal or regulatory purposes.

13. Governing Law
